Parties and Conclusion of the Agreement

The parties to this agreement are:

  • Service provider: Muhammed Mustafa Geldi, operating under the name Swanky Software, Türkiye (“Swanky Software”). Contact: [email protected].
  • User: The natural or legal person who creates a Stocky account. A person who creates an account on behalf of a business or legal entity confirms that they are authorised to do so.

1.1Conclusion of the agreement

This agreement is concluded when the user creates an account or signs in after accepting these terms on the sign-in screen. The current version of the terms is always available on this page and can be saved.

02

Scope of the Service

Stocky is a record-keeping and tracking application that provides product and stock tracking, customer and supplier records, recording of sales, purchases, returns, collections and payments, tracking of additional costs, barcode scanning and receipt generation (PDF and thermal printer).

Stocky does not provide accounting, tax, legal or financial advice. The tax, profit and balance amounts shown in the application are calculated from the information entered and the settings made by the user.

2.1Receipts and documents

Receipts and PDF documents created with Stocky are for information purposes only. These documents do not replace an official invoice or tax document. In Türkiye, they do not qualify as an invoice, e-invoice, e-archive invoice, retail sales receipt or cash register receipt under Tax Procedure Law No. 213 and related legislation. Obligations to issue and retain documents under the laws of the user’s country rest with the user.

03

Account

  • Capacity: To create an account, you must be at least 18 years old and have full legal capacity.
  • Accurate information: The user is responsible for ensuring that the information provided when creating the account is accurate and up to date.
  • Account security: The user must keep their password confidential and protect access to their account. Actions taken through the account as a result of the user sharing account credentials with third parties or failing to protect them are attributable to the user.
  • Unauthorised access: A user who suspects unauthorised access to their account should change their password and report the matter without delay to [email protected].
04

Rules of Use

The user agrees to use Stocky in compliance with applicable law and these terms. The following conduct is prohibited:

  • Unlawful use: Using the application to carry out or conceal an unlawful activity.
  • Unauthorised access: Attempting to access other users’ accounts or data.
  • Circumventing limits: Attempting to circumvent or disable security, subscription or plan limit mechanisms.
  • Reverse engineering: Except where permitted by law, attempting to obtain the source code of the application, or copying or modifying the application.
  • Excessive load: Sending requests with automated tools in a way that disrupts the operation of the service.
  • Commercial transfer: Selling or renting the application or the account to third parties, or offering it as part of another service.
05

User Records and Third-Party Data

5.1Ownership of records

The product, customer, supplier, transaction and company records entered by the user belong to the user. Swanky Software processes these records only to the extent necessary to provide the service and does not use them for any other purpose. The user is responsible for the accuracy and lawfulness of the records.

5.2Customer and supplier information

The user is the data controller for the customer, supplier and supplier contact information they record. Informing these individuals, obtaining their consent where required, processing the data on a valid legal basis and responding to requests from these individuals are the responsibility of the user.

Swanky Software acts as a data processor with regard to this information and complies with the following principles. These principles also constitute the data processing commitments under Article 28 of the GDPR:

  • Purpose limitation: Data are processed only to provide the service and in accordance with the user’s actions within the application.
  • Confidentiality and security: Access to the data is limited to what is necessary to operate the service, and appropriate security measures are taken.
  • Sub-processors: The providers used for the service are listed in the Privacy Policy. Users will be informed of any material change to this list.
  • Deletion: When the user deletes a record or their account, the related data are permanently deleted.
  • Breach notification: If a security breach affecting this data is detected, the user will be informed without undue delay.
  • Assistance: Reasonable assistance is provided so that the user can respond to requests from the individuals concerned.

5.3Backups

No automatic backups are made on the server side. The user is responsible for keeping an independent copy of records that are subject to legal retention obligations or that are important to them (for example, PDF copies of receipts).

06

Free Plan and Premium Subscription

6.1Free plan

The core features of Stocky can be used free of charge. On the free plan, the number of products, customers, suppliers and cost templates and the number of printed receipts are limited, and receipts include a Stocky mention. The current limits are shown in the application.

6.2Premium subscription

The premium subscription is purchased monthly or yearly within the application via Google Play. The subscription price, taxes and payment terms are shown on the Google Play screen before the purchase is confirmed. Payment is collected by Google, and the Google Play terms also apply to the purchase.

For the duration of the subscription, premium removes the free plan limits and allows the Stocky mention to be hidden on receipts.

6.3Renewal and cancellation

Unless cancelled, the subscription renews automatically for the same period at the end of each term. Cancellation is done in Google Play under Payments & subscriptions; for the steps, see Google Play subscription management. A cancelled subscription can be used until the end of the paid period; at the end of that period, the account switches to the free plan. Existing records are not deleted when this happens, but the free plan limits apply when new records are created.

Deleting the account does not end the Google Play subscription. A user who wishes to delete their account must first cancel the subscription via Google Play.

6.4Refunds and price changes

Refund requests are assessed under the Google Play refund policies. Consumers’ rights under applicable law remain unaffected. Changes to subscription prices are subject to Google Play’s notification and consent processes and do not affect a period that has already been paid for.

07

Intellectual Property and Licence

All rights in the Stocky application, its software, interface design, and the Stocky name and logo belong to Swanky Software. For as long as this agreement remains in force, the user is granted a non-transferable, non-sublicensable and non-exclusive licence to use the application for their own business activities.

08

Continuity of the Service and Changes

  • Availability: Swanky Software endeavours to provide the service with reasonable care and without interruption. Temporary interruptions may occur due to maintenance, updates, internet connectivity or third-party infrastructure services. Planned maintenance is announced in advance where possible.
  • Updates: Support for older versions of the application may be discontinued for security and compatibility reasons. Updating the application may be necessary to continue using the service.
  • Changes to features: Swanky Software may improve or change the features of the application. During a paid subscription period, the core premium features will not be materially reduced to the user’s detriment.
  • Discontinuation of the service: If the service is discontinued entirely, this will be announced a reasonable time in advance, where possible at least thirty days beforehand, and users will be given time to obtain a copy of their records.
09

Liability

Swanky Software is obliged to provide the service with reasonable care.

9.1Cases for which Swanky Software is not liable

  • User-related circumstances: Incorrect or incomplete data entry, failure to protect account credentials, deletion of records by the user, and use of the application in breach of these terms.
  • User’s hardware and connection: Problems arising from the user’s device, internet connection, printer or other hardware.
  • Legal obligations: Use of receipts and records created in the application as official documents, and the user’s failure to fulfil their tax, accounting or other legal obligations.
  • Events beyond control: Events beyond Swanky Software’s control that could not be prevented with reasonable care, such as natural disasters, general internet or power outages, and outages of third-party infrastructure services.

9.2Business use

For users who use Stocky for commercial or professional purposes, Swanky Software’s liability for indirect damage (such as loss of profit, loss of business and loss of reputation) arising from slight negligence is excluded to the extent permitted by law.

9.3Exceptions

The limitations in this section do not apply to liability arising from intent, gross negligence or fraud, to damage to life, body or health, to statutory liability relating to the protection of personal data, or to consumers’ mandatory statutory rights.

9.4User’s liability

The user is obliged to compensate Swanky Software for any damage it suffers as a result of the user’s use in breach of these terms or the law, in particular as a result of the unlawful processing of personal data belonging to third parties.

10

Termination of the Agreement

  • By the user: The user may terminate the agreement at any time by deleting their account; deletion methods are described on the Account and Data Deletion page. Any active premium subscription must also be cancelled via Google Play.
  • By Swanky Software: The account may be suspended or closed in the event of a material breach of these terms, unlawful use, conduct that endangers the security of the service or other users, or a decision by a competent authority.
  • Notice and time limits: Except in urgent security situations and where required by law, the user will be informed before the account is closed and given a reasonable period to remedy the breach. Where no unlawful conduct is involved, the user will be given time to obtain a copy of their records.
11

Changes to the Terms

Swanky Software may update these terms in line with changes to the service or the law. Changes that materially affect the user’s rights or obligations will be announced in the application or by email a reasonable time before they take effect. A user who does not accept a change may terminate the agreement by deleting their account before the effective date. Continued use of the service after the effective date constitutes acceptance of the updated terms.

12

Governing Law and Disputes

In the event of a dispute, the parties will first try to resolve the matter in good faith via [email protected].

  • Governing law: This agreement is governed by the laws of the Republic of Türkiye. Consumers residing in another country retain the rights arising from the mandatory consumer protection provisions of their country of residence.
  • Consumers in Türkiye: Users who are consumers in Türkiye may apply to the consumer arbitration committees or consumer courts at their place of residence, within the monetary limits set out in Consumer Protection Law No. 6502.
  • Business users: For disputes with users who use Stocky for commercial or professional purposes, the courts of the Republic of Türkiye have jurisdiction, subject to statutory mandatory mediation provisions.
13

General Provisions

  • Entire agreement: The Privacy Policy forms an integral part of this agreement.
  • Severability: If any provision of these terms is held invalid, the validity of the remaining provisions is not affected.
  • No waiver: Failure or delay in exercising a right does not constitute a waiver of that right.
  • Assignment: The user may not assign their rights and obligations under this agreement to third parties without the written consent of Swanky Software.
  • Notices: Notices to the user are sent within the application or to the email address registered to the account.
  • Language: In the event of a conflict between language versions of these terms, the Turkish version prevails, without prejudice to consumers’ mandatory rights.
